SEC HARBOR system and UBO requirements (2026)

Every Philippine corporation now has to tell the SEC who really owns and controls it — not just the names on the share register, but the actual people behind them. The disclosure runs through HARBOR, the SEC's web-based beneficial ownership registry, under the Beneficial Ownership Disclosure Rules of 2026 (SEC Memorandum Circular No. 15, Series of 2025). Here's what the system asks for and who you have to name.

What HARBOR is

HARBOR is the SEC's dedicated online registry for beneficial ownership, accessed through the eFAST portal. It replaces the old practice of reporting beneficial owners as part of the annual General Information Sheet (GIS). The disclosure has been pulled out into its own system so the regulator can hold a real-time, searchable record of who ultimately controls each registered entity. As of 2026, the SEC no longer accepts manual beneficial ownership entries in the GIS — the information goes into HARBOR.

Who counts as a beneficial owner

The key concept is the ultimate beneficial owner (UBO) — the natural person at the end of the ownership chain, not a holding company or nominee. Under the 2026 rules, a beneficial owner is any natural person who:

  • Owns at least 20% of the voting rights, voting shares, or capital of the company (the threshold was lowered from 25%), or
  • Exercises effective control by other means, where no single person reaches the 20% line.

That second limb matters. If ownership is spread thinly enough that nobody hits 20%, you still have to identify whoever actually controls the company — control doesn't disappear just because the percentages are small.

Tip

For layered structures, work out indirect ownership by multiplying the percentages down each level of the chain. A person who owns 50% of a company that owns 50% of yours holds 25% indirectly — above the threshold, and reportable.

What you have to report

For each beneficial owner, HARBOR collects identifying details and the basis on which they qualify:

  • Full name and residential address
  • Nationality
  • Tax Identification Number (TIN)
  • The ownership or control category (a set of defined categories, A through I) that explains why they're a beneficial owner

The category is what distinguishes a direct 20% shareholder from someone who controls through voting agreements, nominee arrangements, or a position of effective control.

How it ties into your annual filing

HARBOR isn't optional housekeeping you can defer — it's now a gate in front of your annual compliance. A corporation generally has to complete its beneficial ownership filing in HARBOR before it can submit its GIS. So the practical sequence each year starts with confirming your beneficial ownership record is current, then filing the GIS on top of it.

Beneficial ownership also isn't a once-a-year snapshot. Any change in who the ultimate beneficial owner is, or in the nature of their control, has to be updated in HARBOR promptly — the rules call for the update within a short window (reported as seven days) of the change, not at the next annual filing.

Who must comply

The requirement is broad. It covers domestic stock and non-stock corporations, partnerships, and foreign corporations licensed to do business in the Philippines. The rationale is the country's alignment with global anti-money-laundering and counter-terrorism-financing standards — a transparent record of who ultimately controls a company is what lets regulators trace illicit funds. Penalties for false or missing disclosures are significant, so the safe approach is to treat the beneficial ownership record as something you keep current year-round, not something you reconstruct at filing time.
